This document provides the specific terms and conditions corresponding to each of the products offered by Safebridge (the “Product Specific Terms” or “PST”). The Product Specific Terms for each Product form an integral part of the General Terms and Conditions of Safebridge (located in www.mintra.com/legal) for the corresponding Product.

A. SAFELEARN

1.These Product Specific Terms (hereinafter the “PST”) shall be read in conjunction with the General Terms and Conditions or Customer Framework Agreement entered into between the Parties (hereinafter the “GTCs”) and shall form an integral part of the GTCs in relation to SafeLearn. In case of inconsistency of any of the terms of the GTCs with any of the terms of the PST, the latter shall prevail. Unless otherwise defined in these PSTs capitalised terms shall have the meaning attributed to them in the GTCs.

2. Safebridge provides an own-developed training solution consisting of own-produced e-learning courses (the “Courses”) and a web-based learning management system (the “LMS”), both customised and catered to the maritime industry as described in more detail on the platform’s website www.safelearn.com (hereinafter “SafeLearn” or “Product”). The Product is being hosted in a co-location Data Centre facility and public Cloud Services.

3. Courses assigned and completed via SafeLearn are located on:

4. In brief, SafeLearn offers End-Users the capability to watch the Course material (“GuideMe” function) and, where available, virtually control the corresponding software through the SafeLearn virtual networking computing feature (“FreePlay” function). Upon completion of GuideMe for a specific Course, the End-User is tested via SafeLearn (“TestMe” function). For each successful test attempt of an End-User, Safebridge generates and issues a certificate, either through the Application or its myCert integration (www.mycert.com), and forwards such certificate to the End-User automatically.

5. Customer is aware that the End-User may be required to prove his or her identity before being able to undertake a test in the TestMe function in accordance with the provisions of the GTCs.

6. The Courses meet the applicable standards as set out in the corresponding Product Data Sheet available for each respective course. Safebridge, however, does not guarantee nor confirms that the End-User by successfully attending the courses (GuideMe) and passing the examination (TestMe) was successfully trained therefore Safebridge cannot be held liable for any claims arising out of improper use of the equipment on board by the End User.

7. Customer notes and agrees to the following timelines:

7.1. Upon purchasing and assigning a Course to a specific End-User a six (6) month term commences during which the course has to be started by End-User (ie End-User has to activate the Course).

7.2. Unless otherwise specified in the Product Data Sheet, Courses purchased but not yet assigned to a specific End-User remain valid for a period of two (2) years from purchase during which they have to be assigned to an End-User.

7.3. From the first time an End-User activates a Course, as per sub-section 7.1, a period, as specified in the Product Data Sheet, commences during which the Course is visible and accessible to the End-User allowing the End-User to participate and watch the Course (GuideMe) and conduct the corresponding test (TestMe).

7.4. End-User, upon successfully completing a test attempt via the TestMe function and being granted with a corresponding certificate, is longer be able to access the TestMe function for the specific Course. During the remaining period the End-User has access only to the GuideMe and FreePlay functions, where applicable.

8. Upon successful completion of the test by the End-User, and receipt of any outstanding payments due to Safebridge, Safebridge will issue a certificate to End-User (in pdf format) for the respective Course, accessible – where applicable – by both End-User and Customer.

9. Test certificates are issued and archived by Safebridge through its own neutral certification platform (hereinafter “myCert”) which is integrated with SafeLearn. Through myCert, among other functions, the authenticity and validity of certificates can be checked online as further described on the myCert website www.mycert.com. Notwithstanding the aforementioned, Customer agrees that Safebridge may subcontract third-party providers for rendering the Certification services.

10. SafeLearn also enables Customer to access information and generate reports related to End-User activity, progress, results, test scores and certification for Courses which have been assigned by the Customer to the End-User.

11. The specific usage and remuneration by the Customer is subject to the License and Remuneration Model of the Product agreed and concluded between Safebridge and Customer in the course of a booking process either through the Safebridge sales team or via the Safebridge web-shop.

12. Customer’s purchases of the Product are non-cancellable and payment for Services is non-refundable, except as otherwise stated in the GTC.

13. Termination of the Agreement, subject to the provisions of GTC Clause “Term and Termination”, shall cause with immediate effect the discontinuance of all Services and Safebridge shall – or shall have the right to – take, in addition to any other rights or remedies available to Safebridge under the GTC and applicable legislation, any and/or all of the following actions:

13.1. Suspend the Customer account and connected User accounts with other Safebridge Services;

13.2. Restrict access of the Customer to the Customer account and any uploaded or generated Material or other data;

13.3. Permit and perform the export of generated Material or other data in the format of choice of the Customer – subject to technical feasibility – for a fee calculated on an hourly basis.

B. SAFEMETRIX

1.These Product Specific Terms (hereinafter the “PST”) shall be read in conjunction with the General Terms and Conditions or Customer Framework Agreement entered into between the Parties (hereinafter the “GTCs”) and shall form an integral part of the GTCs in relation to SafeMetrix. In case of inconsistency of any of the terms of the GTCs with any of the terms of the PST, the latter shall prevail. Unless otherwise defined in these PSTs capitalised terms shall have the meaning attributed to them in the GTCs.

2. Safebridge provides an assessment platform designed to help companies select the right people for the right roles as described in more detail on the platform’s website www.safemetrix.com(hereinafter “SafeMetrix” or “Product”). In brief, a portfolio of psychometric assessments measuring key skills and abilities (the “Assessment”) and providing actionable reports on an individual and company level (the “Reports”) is offered via a single unified online platform. The Product is being hosted in a co-location Data Centre facility and public Cloud Services.

3. SafeMetrix Psychometric Assessments may take any form including, however not limited to, the following:

MET-3S: Soft Skills for Seafarers; and
MET-CSS: Cognitive Skills for Seafarers.

4. After a Customer purchases an Assessment, a 24 months assessment validity term commences during which the Assessment may be assigned (by Customer) and/or completed (by End-User) (the “Validity Term”). After lapse of the Validity Term, the Assessment expires and can no longer be assigned and/or completed. For the avoidance of doubt, and strictly limited to the purposes of this clause, interrupted assessment sessions shall be considered as completed and shall not expire after lapse of the Validity Term.

5. Once an Assessment is completed, Customer may via the Application, at any time during the Validity Term, generate and download (in pdf format) Reports, as further described on www.mintra.comand www.safemetrix.com/. Further, the Application enables Customer to compare the test results of their End-Users with specific industry data provided by Safebridge (the “Industry Norms”).

6. Safebridge will ensure, during the term of the Agreement, that Customers, following full settlement of all payments due to Safebridge, may generate and download Reports (in .pdf format) on the results of the successfully completed Assessments conducted by Users.

7. Customer contributes to the improvement of the Industry Norms by allowing Safebridge to use the Assessment results anonymously to develop the data base for the Industry Norms and to derivate statistical information.

8. The Assessments and derivatively generated Reports meet the applicable standards of psychological science. Safebridge, however, does not guarantee any specific test results or fitness of any results for specific decision-making purposes within the Customer’s organization. Therefore, Safebridge cannot be held liable for any decisions made by Customer based on the generated reports or any Industry Norms associated with the Report on each individual End-User’s performance.

9. The specific usage and remuneration by the Customer are subject to the License and Remuneration Model of the Product agreed and concluded between Safebridge and Customer in the course of a booking process either through the Safebridge sales team or via the Safebridge web-shop.

10. Customer’s purchases of the Product are non-cancellable and payment for Services is non-refundable, except as otherwise stated in the GTC.

11. C. MYCERT

1. These Product Specific Terms (hereinafter the “PST”) shall be read in conjunction with the Customer Framework Agreement entered into between the Parties (hereinafter the “GTCs”) and shall form an integral part of the GTCs in relation to myCert. In case of inconsistency of any of the terms of the GTCswith any of the terms of the PST, the latter shall prevail. Unless otherwise defined in these PSTs capitalised terms shall have the meaning attributed to them in the GTCs.

2. Safebridge provides a neutral certification platform enabling the interaction between Customers, Users and End-Users described in detail on the platform’s website www.mycert.com (hereinafter “myCert” or “Product”). In brief, via myCert different types of users can issue, share, display, trace, revoke, and otherwise manage certificates. Additionally, and subject to the provisions contained in PST Clauses 7, 8, and 9, Safebridge provides a limited verification service of the legal status and the accreditation received by Certificate Issuers.

3. Certificates issued, uploaded, shared, displayed, traced, revoked, managed, etc. via myCert may take any form including, however not limited to, the following:

3.1. person-oriented certificates;

3.2. content-oriented certificates; and

3.3. organisation-oriented certificates.

4. myCert has the following types of Customers, Users and End-Users:

4.1. “Certificate Issuers”: Customers that are registered with myCert to issue and document certificates to other Customers, Users or End-Users, as evidence of authorisations granted and/or of successful completion of courses, studies, trainings etc., via myCert. Certificate Issuers may include Flag States, Companies, Training Centres, etc.

4.2. “Certificate Holders”: Persons who have obtained a certificate (i) evidencing authorisations granted to such person and/or (ii) evidencing successful completion of courses, studies, trainings etc. Certificate Issuers issue and revoke certificates to Certificate Holders via myCert.

4.3. “Certificate Organisers”: persons or institutions that collect and archive certificates which Certificate Holders shared with Certificate Organisers via myCert;

4.4. “Certificate Viewers”: persons or institutions that request certificates from Certificate Organisers for viewing purposes;

4.5. “Certificate Accreditors”: persons or institutions that accredit or revoke accreditation of Certificate Issuers under myCert.

5. The Certificate Issuer assures the correctness of content and authenticity of the certificate issued via myCert.

6. Safebridge does not assure or guarantee the authenticity or any specific characteristics of any certificates issued via or uploaded on myCert or that a certificate is fit for specific purposes. Therefore, Safebridge cannot be held liable for any decisions made by Customer or third parties based on the issued or uploaded certificates or on individual User’s performances.

7. Safebridge only verifies the legal status of the Certificate Issuer and the accreditation claimed by a Certificate Issuer to ensure to a reasonable extent the validity of issued certificates. Safebridge only carries out internal checks on the information provided by Certificate Issuer for verification purposes therefore Safebridge only guarantees the correctness and validity of such information to the extent that such information has been provided by the Certificate Issuer. Furthermore, verification of a Certificate Issuer does not guarantee the authenticity of any certificate issued or the correctness of its contents. It only substantiates that the Certificate Issuer assured the certificate’s authenticity in myCert. If it is proven that a certificate is false, Safebridge may revoke the certificate from Certification Platform.

8. To provide the verification services outlined in PST Clause 7, Safebridge may request to be supplied with documentation and/or additional information as it may deem reasonable. In such case, the Customer is responsible for the provision of the necessary documentation and/or additional information to Safebridge to provide such services.

9. The verification of the legal status and accreditation of Certificate Issuers is performed as follows:

9.1. Verification process of legal status: Through manual review of the Corporate (or other equal) documents of the Certificate Issuer, as requested by Safebridge according to Safebridge’s internal company policy.

9.2. Verification process of accreditation: Through manual review of the accreditation certificates issued to the Certificate Issuer by an accrediting body. For the purposes of accreditation, Customer grants Safebridge with the right to contact the accrediting body to verify the relevant accreditation presented by the Certificate Issuer.

10. Where a Certificate Issuer (being a Flag State or Enterprise) engages a sub-contractor to issue, share, display, trace, revoke, and otherwise manage all certificates on behalf of the Certificate Issuer, the sub-contractor shall be considered to be the Customer for the purposes of this Agreement acting on the behalf of the Certificate Issuer. In this case, and upon verification of the Certificate Issuer as an Organisation and the sub-contractor as User as per PST Clause 10.1 and 10.2 respectively, the Certificate Issuer shall be registered as an “Organisation” and the sub-contractor shall be registered as a “User” under the Organisation.

10.1. To verify an Organisation and to proceed with the registration of the Certificate Issuer as “Organisation”, Safebridge, in addition to the requirements of PST Clauses 7, 8, and 9, shall require – and the Certificate Issuer is obliged to provide, either directly or through an approved sub-contractor subject to the requirements of PST Clause 10.2 – the following:

10.1.1. In the case of an organisation other than a Flag State:

10.1.1.1. documents required for the verification of the legal status of the Organisation in accordance with PST Clause 9.1; and

10.1.1.2. contact details of the Organisation; and

10.1.1.3. any other document deemed necessary by Safebridge at Safebridge’s sole discretion.

10.1.2. In the case of a Flag State, a letter of declaration from an official department of the Flag State confirming:

10.1.2.1. the registration of the Flag State on myCert as an Organisation; and

10.1.2.2. the appointment and details of any contractor representing the Flag State.

10.2. To verify the engagement of a sub-contractor engaged in accordance with PST Clause 10 hereinabove, and to proceed with its registration as “User” under the Organisation, Safebridge, in addition to the requirements of PST Clauses 7, 8, and 9, shall require – and the sub-contractor is obliged to provide, either directly or through an approved Organisation subject to the requirements of Clause 10.1 – the following:

10.2.1. documents required for the verification of the legal status of the sub-contractor in accordance with PST Clause 9.1; and

10.2.2. proof of the engagement of the sub-contractor by the Organisation in any form requested by – and to the satisfaction of – Safebridge;

10.2.3. contact details of the Organisation; and

10.2.4. any other document deemed necessary by Safebridge at Safebridge’s sole discretion.

10.3. Both Parties confirm that in case not all requested documentation is provided, or the provided documentation is not of satisfactory quality, Safebridge reserves the right to reject the registration of a Certificate Issuer as Organisation or the registration of a sub-contractor as User under an Organisation without further justification.

11. The specific usage and remuneration by the respective type of Customer is subject to the subscription model agreed between Safebridge and Customer which is agreed and concluded between Customer and Safebridge in the course of a booking process either through the Safebridge Sales team or via the myCert website (www.mycert.com).

12. The subscription validity term, unless otherwise provided in the Product Data Sheet or the myCert website, shall be for one (2) years (the “Term”) to be prolonged for one-year periods thereafter unless terminated by written notice supplied by either Party at least thirty (30) days before the expiry of the Term, in accordance with the provisions of the Agreement.

13. Within the subscription validity term as per the specific provisions of the respective subscription model the Customer may, if applicable, at any time issue and/or share and/or display and/or trace and/or revoke and/or otherwise manage certificates via myCert and download such certificates in pdf format via the Application as further described at www.mycert.com.

14. Customer’s purchases of the Product are non-cancellable and payment for Services is non-refundable, except as otherwise stated in the Agreement.

15. Termination of the Agreement, subject to the provisions of GTC Clause “Term and Termination”, shall cause with immediate effect the discontinuance of all Services and Safebridge shall – or shall have the right to – take, in addition to any other rights or remedies available to Safebridge under the GTC and applicable legislation, any and/or all of the following actions:

15.1. Suspend the Customer account and connected User Accounts with myCert;

15.2. Restrict access of the Customer/Certificate Issuer to the account and any uploaded or generated Material or other data;

15.3. Change the status of the Certificate Issuer from “verified” to “unverified”;

15.4. Permit and perform the export of generated Material or other data in the format of choice of the Customer – subject to technical feasibility – for a fee calculated on an hourly basis.

1. INTRODUCTION

1.1. Unless otherwise defined in these Terms of Use (the “ToUs”), capitalised terms used herein shall have the meaning attributed to the respective terms in the General Terms and Conditions (the “General Terms and Conditions” or “GTCs”) or the Product Specific Terms (the “Product Specific Terms” or “PST”) of Safebridge, located at www.mintra.com/legal.

1.2. Definitions:

“Customer”: Shall refer to the legal or natural person entering into a commercial agreement with Safebridge for the Safebridge Products and/or Services and, where applicable, shall refer to the current employer or potential employer of the General User with whom Safebridge has entered into an agreement for the Products and/or Services.

“General User Data”: Shall have the meaning attributed to the term in section 4.1 of this Agreement.

“General User(s)”: Shall refer to any type of user of the Application whether acting as User or End-User or both accordingly.

“Login Data”: The particular combination of letters and/or numbers and/or other special characters which form the General User’s user-name and password required to log into the General User’s account with the Application.

2. SUBJECT MATTER OF THE TERMS AND CONDITIONS

2.1. The following Terms of Use cover the provision of electronic services by Safebridge GmbH, Große Bleichen 21, 20354 Hamburg, Germany.

2.2. General User has registered own account with Safebridge either:

2.2.1. upon request of a Customer; or

2.2.2. upon General User’s sole and unfettered discretion, provided that the General User has entered directly into such an Agreement with Safebridge.

2.3. General User is not a third-party beneficiary and, unless otherwise expressly agreed by the Parties, cannot be considered to act on the behalf of a Customer or any other third party for the purposes of these Terms of Use or applicable Terms and Conditions.

3. GENERAL USER’S DUTIES AND OBLIGATIONS

3.1. General User shall comply with these Terms of Use. The use of the Application without accepting these Terms of Use is prohibited and shall be considered a violation of the Terms and Conditions of Safebridge.

3.2. General User shall provide correct personal data and, where required, verify his or her identity. The use of the Application without correct identification is prohibited and shall be considered a violation of the Terms and Conditions of Safebridge.

3.3. General User shall:

3.3.1. use the Login Data only as instructed by Safebridge; and

3.3.2. protect the Login Data from unauthorised access; and

3.3.3. not disclose the Login Data in any way to any third party.

3.4. The Application, its source code as well as its interface, generated reports and all other related Material are protected by national and international intellectual property laws. Safebridge retains all intellectual property rights regarding the Application and relating Material and other documentation, made available to General User. General User must not remove or cover attributions of authorship or copyright.

3.5. The selling, lending, renting, licensing, distributing or making available of the Application or related Material or the Login Data to third parties as well as the translation, adaptation, arrangement or any other alteration of the Application and related course Material. General User is allowed – if, where applicable, General User is empowered to do so by Customer – to make copies of the generated reports and related material only insofar as necessary for the use of the Application. The selling and distribution of Safebridge Products without Safebridge’s prior written consent is prohibited and shall be considered a violation of the Terms and Conditions of Safebridge.

4. ASSESSMENTS AND REPORTS

4.1. All Personal Data and all input made directly by a General User during the use of the Application (hereinafter referred to as “General User Data”) shall remain General User’s sole property. General User, however, grants to Safebridge and, where applicable, to Customer a right to use the General User Data to satisfy their obligations under the Agreement in accordance with the Data Protection Declaration and Privacy Policy of Safebridge located at www.mintra.com/legal.

4.2. General User may have to prove his or her identity before being able to undertake an assessment in accordance with the identity verification procedure as described in the Product Specific Terms and in the Application.

5. EXCLUSION OF GENERAL USERS, WITHDRAWAL OF CERTIFICATES

5.1. In case of use of the Application by a General User in breach of these Terms of Use or in a fraudulent manner, Safebridge is entitled to exclude such General User and to withdraw and/or revoke Material issued to General User. Upon receiving such decision General User must immediately refrain from using such Material and destroy all electronic and physical copies of such Material.

5.2. General User must comply with any restrictions communicated to him by either Safebridge or, where applicable, Customer.

5.3. The above actions shall not affect or limit, in any way, Safebridge’s rights in equity or law for breach of these Terms of Use by General User.

6. CONSENT TO DATA PROCESSING

6.1. General User Data is processed in Europe in accordance with the applicable regulations and directives of the European Union, and the laws and regulations of Germany, such as the Federal Data Protection Act and the Telemedia Act, as further described in the Data Protection Declaration and Privacy Policy of Safebridge located in www.mintra.com/legal.

6.2. General User Data is processed only for the purpose of providing Safebridge’s Services to General User and Customer and, where applicable, for maintaining a validation service of the issued Material. Such data is not transferred to any third parties without the General User’s express consent.

6.3. General User agrees that Customer can access and view an activity summary with regards to Products and Services assigned to General User as well as an evaluation report on General User’s assessment results. General User further consents that any assessment results may be anonymised and used to improve Safebridge’s Services.”

6.4. General User further agrees to satisfy the identity verification requirements as further described in the General Terms and Conditions and the Application upon initiation of the TestMe testing function. In particular General User agrees to upload a valid identification document of General User (i.e. passport or national I.D.) to facilitate the verification of the identity of the General User by Safebridge. Furthermore, the General User acknowledges that during the performance of a test, the Application may capture reference pictures of General User at random intervals via the device’s webcam (or equal hardware) to confirm that the verified General User is the person conducting the test. The uploaded identity document and the reference pictures captured by the Application will be processed and stored solely for identity verification purposes.

6.5. In accordance with the Data Protection Declaration, General User has the right to request Safebridge to provide information about recorded data concerning the General User, including, however not limited to, information with regards to the source of such data; the recipients or categories of recipients to which this data is transferred; and the purpose of recording and/or storing and/or processing of such data.

6.6. General User confirms that the Data Protection Declaration and Privacy Policy of Safebridge, located at www.mintra.com/legal and detailing the General User Data collected and the way they are processed, have been read and understood and agreed upon. Safebridge reserves the right to revise the Data Protection Declaration and Privacy Policy from time to time. If any material changes are made to the Data Protection Declaration and Privacy Policy, Safebridge will notify General User of those changes by posting them on the Application or by sending General User an email or other notification. In case of such material changes, the version number and reference date indicated at the bottom of each document will be updated accordingly, indicating when those changes become effective.

III. RIGHTS OF THE DATA SUBJECT

The following list includes all rights of the persons concerned according to the GDPR. Rights that are not relevant to the purposes of processing of personal data by Safebridge need not be mentioned.

If your personal data is processed by the controller, you are affected within the meaning of the GDPR and you are entitled to the following rights:

1. Right to information

You can ask the controller to confirm whether personal data concerning you will be processed by us. If such processing has taken place, you can request the following information from the controller:

1.1. the purposes for which the personal data have been or are still being processed;

1.2. the categories of personal data processed;

1.3. the recipients or categories of recipients to whom the personal data concerning you have been or are still being disclosed;

1.4. the planned duration of the storage of the personal data concerning you or, if specific information on this is not possible, criteria for determining the storage time;

1.5. the existence of a right to have personal data concerning you rectified or deleted; a right to restrict the processing of personal data by the controller; or a right of objection to processing;

1.6. the existence of a right of complaint to a supervisory authority;

1.7. any available information on the origin of the data if the personal data are not collected from the person concerned;

1.8. the existence of automated decision-making, including profiling in accordance with Art. 22 Paragraphs 1 and 4 GDPR and – at least in such cases – sound information on the logic involved as well as the scope and intended effects of such processing for the person concerned.

Further to the above, you have the right to request information as to whether the personal data concerning you is transferred to a third country or to an international organisation. In this context, you may request to be informed of appropriate guarantees according to Art. 46 GDPR related to the transmission.

2. Right to rectification

You have a right of rectification and/or completion of personal data if the personal data processed concerning you are incorrect or incomplete. Upon exercising this right, the controller shall make the correction without delay.

3. Right to restriction of processing

You can request the restriction of the processing of personal data concerning you under the following conditions:

3.1. you contest the accuracy of personal data concerning you; this will result to the restriction of processing of personal data for a period of time that enables the controller to verify the accuracy of the personal data;

3.2. the processing is unlawful and you oppose to the erasure of the personal data and request that the processing of the personal data be restricted instead;

3.3. the controller no longer needs the personal data for the purposes of the processing; however, you do need them to establish, exercise or defend legal claims; or

3.4. if you have objected to processing pursuant to Art. 21.1 GDPR and you request restriction of processing pending the verification whether the legitimate grounds of the controller override your reasons.

Where processing of personal data concerning you has been restricted, such personal data shall, with the exception of storage, only be processed with your consent or for the establishment, exercise or defence of legal claims and/or for the protection of the rights of another natural or legal person and/or for reasons of important public interest of the Union or of a Member State.

If the restriction of processing has been restricted according to the above conditions, you shall be informed by the controller before the restriction of processing is lifted.

4. Right to erasure

4.1. Obligation to delete:

You shall have the right to obtain from the controller the erasure of personal data concerning you without undue delay and the controller shall have the obligation to erase personal data without undue delay where one of the following grounds applies:

4.1.1. the personal data concerning you are no longer necessary in relation to the purposes for which they were collected or otherwise processed; or

4.1.2. you withdraw the consent on which the processing is based, pursuant to Article 6.1(a) or Article 9.2(a) GDPR, and there is no other legal ground for the processing.

4.1.3. you object to the processing pursuant to Article 21.1 GDPR and there are no overriding legitimate grounds for the processing; or you object to the processing pursuant to Article 21.2 GDPR.

4.1.4. the personal data concerning you have been unlawfully processed.

4.1.5. the personal data have to be erased for compliance with a legal obligation in Union or Member State law to which the controller is subject.

4.1.6. the personal data have been collected to offer ‘information society services’ as referred to in Article 8.1 GDPR.

4.2. information to third parties:

Where the controller has made the personal data related to you public and is obliged pursuant to Article 17.1 GDPR to erase the personal data, the controller, taking account of available technology and the cost of implementation, shall take reasonable steps, including technical measures, to inform controllers who are processing the personal data that you as person concerned has requested the erasure by such controllers of any links to, or copy or replication of, those personal data.

4.3. Exceptions:

The right to erasure shall not apply to the extent that processing is necessary:

4.3.1. for exercising the right of freedom of expression and information;

4.3.2. for compliance with a legal obligation which requires processing by Union or Member State law to which the controller is subject or for the performance of a task carried out in the public interest or in the exercise of official authority vested in the controller;

4.3.3. for reasons of public interest in the area of public health in accordance with Article 9.2(h) and (i) as well as Article 9.3 GDPR;

4.3.4. for archiving purposes in the public interest, scientific or historical research purposes or statistical purposes in accordance with Article 89.1 GDPR, in so far as the right referred to in Section 4.1 of this document is likely to render impossible or seriously impair the achievement of the objectives of that processing; or

4.3.5. for the establishment, exercise or defence of legal claims.

5. Right to notification

If you have exercised your right against the controller to have the processing corrected, deleted or restricted, he shall communicate any rectification or erasure of personal data or restriction of processing carried out to each recipient to whom the personal data have been disclosed, unless this proves impossible or involves disproportionate effort.

The controller shall inform you about those recipients if you request it.

6. Right to data portability

In the cases referred to in 9.1 and 9.3, the controller shall implement suitable measures to safeguard your rights and freedom and legitimate interests, at least the right to obtain human intervention on the part of the controller, to express your own point of view and to contest the decision.

10. Right to lodge a complaint with a supervisory authority

Without prejudice to any other administrative or judicial remedy, you shall have the right to lodge a complaint with a supervisory authority, in particular in the Member State of your habitual residence, place of work or place of the alleged infringement if you consider that the processing of personal data relating to you infringes the GDPR.

The supervisory authority with which the complaint has been lodged shall inform the complainant on the progress and the outcome of the complaint including the possibility of a judicial remedy pursuant to Art.78 GDPR.

1. Scope of processing of personal data

We only process personal data of our users if this is necessary to provide a functional website as well as our contents and services. The processing of personal data of our users takes place regularly only after consent of the user. An exception applies in those cases where prior consent cannot be obtained for real reasons and the processing of the data is permitted by law.

2. Legal basis for the processing of personal data

Provided we obtain the consent of the data subject for the processing of personal data, Art.6.1(a) GDPR serves as the legal basis.

For the processing of personal data required for the performance of a contract to which the data subject is a party, Article 6.1(b) GDPR serves as the legal basis. This also applies to processing operations that are necessary to carry out pre-contractual measures.

The personal data of the person concerned will be deleted or blocked as soon as the purpose of storage ceases to apply. The temporary storage of the IP address by the system is necessary to enable the website to be delivered to the user’s computer. For this purpose, the IP address of the user must remain stored for the duration of the session. The data is stored in log files to ensure the functionality of the website. In addition, the data serve us to optimise the website and to ensure the security of our information technology systems. An evaluation of the data for marketing purposes does not take place in this context.

Our legitimate interest in data processing for this purpose is in accordance with Article 6.1(f) GDPR.

4. Duration of storage

IX. CALL RECORDING

We use “AI” to automatically record calls made to and by our Sale department for quality assurance and training purposes. We use the following tools: Speech to text analysis, Natural Language Processing, Telecom, Sentimental Analysis function and Machine Learning. All recorded data are saved on “PBC” platform under separate customer records. The recorded data are available only to PBX/IT Admin via the PBX Admin dashboard.

We inform you when a call is recorded and we obtain your consent prior to collecting and/or processing any data.

3.1. For the quality assurance of our services (i.e. to ensure that information we provide regarding our services is consistent and accurate);

3.4. For the prevention of a threat to the health and safety of staff.

All call records will be automatically stored on the “PBC” platform for 90 days. The data will be deleted as soon as they are no longer necessary to achieve the purpose for which they were collected. However, if there is a justified need to maintain a specific record for a longer period, it will be reviewed by us in conjunction with the Data Protection Officer.

5. Possibility of objection and erasure

The user has the possibility to object the recording of the call at any time. In such case the conversation cannot be continued, and the call will be terminated. Furthermore, user can revoke his consent to the processing of personal data at any time after the phone call. In such case, all personal data stored will be deleted.

X. USED PLUGINS

Use of Facebook Pixels:

Ihnen steht das Recht zu, Auskunft darüber zu verlangen, ob die Sie betreffenden personenbezogenen Daten in ein Drittland oder an eine internationale Organisation übermittelt werden. In diesem Zusammenhang können Sie verlangen, über die geeigneten Garantien gem. Art.46 DSGVO im Zusammenhang mit der Übermittlung unterrichtet zu werden.

  1. Recht auf Berichtigung

Sie haben ein Recht auf Berichtigung und/oder Vervollständigung gegenüber dem Verantwortlichen, sofern die verarbeiteten personenbezogenen Daten, die Sie betreffen, unrichtig oder unvollständig sind. Der Verantwortliche hat die Berichtigung unverzüglich vorzunehmen.

  1. Recht auf Einschränkung der Verarbeitung

Unter den folgenden Voraussetzungen können Sie die Einschränkung der Verarbeitung der Sie betreffenden personenbezogenen Daten verlangen:

3.1. wenn Sie die Richtigkeit der Sie betreffenden personenbezogenen für eine Dauer bestreiten, die es dem Verantwortlichen ermöglicht, die Richtigkeit der personenbezogenen Daten zu überprüfen;

3.2. die Verarbeitung unrechtmäßig ist und Sie die Löschung der personenbezogenen Daten ablehnen und stattdessen die Einschränkung der Nutzung der personenbezogenen Daten verlangen;

3.3. der Verantwortliche die personenbezogenen Daten für die Zwecke der Verarbeitung nicht länger benötigt, Sie diese jedoch zur Geltendmachung, Ausübung oder Verteidigung von Rechtsansprüchen benötigen, oder

3.4. wenn Sie Widerspruch gegen die Verarbeitung gemäß Art. 21.1 DSGVO eingelegt haben und noch nicht feststeht, ob die berechtigten Gründe des Verantwortlichen gegenüber Ihren Gründen überwiegen.

Wurde die Verarbeitung der Sie betreffenden personenbezogenen Daten eingeschränkt, dürfen diese Daten – von ihrer Speicherung abgesehen – nur mit Ihrer Einwilligung oder zur Geltendmachung, Ausübung oder Verteidigung von Rechtsansprüchen oder zum Schutz der Rechte einer anderen natürlichen oder juristischen Person oder aus Gründen eines wichtigen öffentlichen Interesses der Union oder eines Mitgliedstaats verarbeitet werden.

Wurde die Einschränkung der Verarbeitung nach den o.g. Voraussetzungen eingeschränkt, werden Sie von dem Verantwortlichen unterrichtet bevor die Einschränkung aufgehoben wird.

  1. Recht auf Löschung

4.1. Löschungspflicht

Sie können von dem Verantwortlichen verlangen, dass die Sie betreffenden personenbezogenen Daten unverzüglich gelöscht werden, und der Verantwortliche ist verpflichtet, diese Daten unverzüglich zu löschen, sofern einer der folgenden Gründe zutrifft:

4.1.1. Die Sie betreffenden personenbezogenen Daten sind für die Zwecke, für die sie erhoben oder auf sonstige Weise verarbeitet wurden, nicht mehr notwendig.

4.1.2. Sie widerrufen Ihre Einwilligung, auf die sich die Verarbeitung gem. Art. 6.1(a) oder Art. 9.2(a) DSGVO stützte, und es fehlt an einer anderweitigen Rechtsgrundlage für die Verarbeitung.

4.1.3. Sie legen gem. Art. 21.1 DSGVO Widerspruch gegen die Verarbeitung ein und es liegen keine vorrangigen berechtigten Gründe für die Verarbeitung vor, oder Sie legen gem. Art. 21.2 DSGVO Widerspruch gegen die Verarbeitung ein.

4.1.4. Die Sie betreffenden personenbezogenen Daten wurden unrechtmäßig verarbeitet.

4.1.5. Die Löschung der Sie betreffenden personenbezogenen Daten ist zur Erfüllung einer rechtlichen Verpflichtung nach dem Unionsrecht oder dem Recht der Mitgliedstaaten erforderlich, dem der Verantwortliche unterliegt.

4.1.6. Die Sie betreffenden personenbezogenen Daten wurden in Bezug auf angebotene Dienste der Informationsgesellschaft gemäß Art. 8.1 DSGVO erhoben.

4.2. Information an Dritte

Hat der Verantwortliche die Sie betreffenden personenbezogenen Daten öffentlich gemacht und ist er gem. Art. 17.1 DSGVO zu deren Löschung verpflichtet, so trifft er unter Berücksichtigung der verfügbaren Technologie und der Implementierungskosten angemessene Maßnahmen, auch technischer Art, um für die Datenverarbeitung Verantwortliche, die die personenbezogenen Daten verarbeiten, darüber zu informieren, dass Sie als betroffene Person von ihnen die Löschung aller Links zu diesen personenbezogenen Daten oder von Kopien oder Replikationen dieser personenbezogenen Daten verlangt haben.

4.3. Ausnahmen

Das Recht auf Löschung besteht nicht, soweit die Verarbeitung erforderlich ist

4.3.1. zur Ausübung des Rechts auf freie Meinungsäußerung und Information;

4.3.2. zur Erfüllung einer rechtlichen Verpflichtung, die die Verarbeitung nach dem Recht der Union oder der Mitgliedstaaten, dem der Verantwortliche unterliegt, erfordert, oder zur Wahrnehmung einer Aufgabe, die im öffentlichen Interesse liegt oder in Ausübung öffentlicher Gewalt erfolgt, die dem Verantwortlichen übertragen wurde;

4.3.3. aus Gründen des öffentlichen Interesses im Bereich der öffentlichen Gesundheit gemäß Art. 9.2(h) und (i) sowie Art. 9.3 DSGVO;

4.3.4. für im öffentlichen Interesse liegende Archivzwecke, wissenschaftliche oder historische Forschungszwecke oder für statistische Zwecke gem. Art. 89.1 DSGVO, soweit das unter Abschnitt 4.1 genannte Recht voraussichtlich die Verwirklichung der Ziele dieser Verarbeitung unmöglich macht oder ernsthaft beeinträchtigt, oder

4.3.5. zur Geltendmachung, Ausübung oder Verteidigung von Rechtsansprüchen.

  1. Recht auf Unterrichtung

Haben Sie das Recht auf Berichtigung, Löschung oder Einschränkung der Verarbeitung gegenüber dem Verantwortlichen geltend gemacht, ist dieser verpflichtet, allen Empfängern, denen die Sie betreffenden personenbezogenen Daten offengelegt wurden, diese Berichtigung oder Löschung der Daten oder Einschränkung der Verarbeitung mitzuteilen, es sei denn, dies erweist sich als unmöglich oder ist mit einem unverhältnismäßigen Aufwand verbunden.

Ihnen steht gegenüber dem Verantwortlichen das Recht zu, über diese Empfänger unterrichtet zu werden.

  1. Recht auf Datenübertragbarkeit

Sie haben das Recht, die Sie betreffenden personenbezogenen Daten, die Sie dem Verantwortlichen bereitgestellt haben, in einem strukturierten, gängigen und maschinenlesbaren Format zu erhalten. Außerdem haben Sie das Recht diese Daten einem anderen Verantwortlichen ohne Behinderung durch den Verantwortlichen, dem die personenbezogenen Daten bereitgestellt wurden, zu übermitteln, sofern

6.1. die Verarbeitung auf einer Einwilligung gem. Art. 6.1(a) DSGVO oder Art. 9.2(a) DSGVO oder auf einem Vertrag gem. Art. 6.1(b) DSGVO beruht und

In Ausübung dieses Rechts haben Sie ferner das Recht, zu erwirken, dass die Sie betreffenden personenbezogenen Daten direkt von einem Verantwortlichen einem anderen Verantwortlichen übermittelt werden, soweit dies technisch machbar ist. Freiheiten und Rechte anderer Personen dürfen hierdurch nicht beeinträchtigt werden.

Das Recht auf Datenübertragbarkeit gilt nicht für eine Verarbeitung personenbezogener Daten, die für die Wahrnehmung einer Aufgabe erforderlich ist, die im öffentlichen Interesse liegt oder in Ausübung öffentlicher Gewalt erfolgt, die dem Verantwortlichen übertragen wurde.

Der Verantwortliche verarbeitet die Sie betreffenden personenbezogenen Daten nicht mehr, es sei denn, er kann zwingende schutzwürdige Gründe für die Verarbeitung nachweisen, die Ihre Interessen, Rechte und Freiheiten überwiegen, oder die Verarbeitung dient der Geltendmachung, Ausübung oder Verteidigung von Rechtsansprüchen.

9.3. mit Ihrer ausdrücklichen Einwilligung erfolgt.

Allerdings dürfen diese Entscheidungen nicht auf besonderen Kategorien personenbezogener Daten nach Art. 9.1 DSGVO beruhen, sofern nicht Art. 9.2(a) oder (g) DSGVO gilt und angemessene Maßnahmen zum Schutz der Rechte und Freiheiten sowie Ihrer berechtigten Interessen getroffen wurden.

Hinsichtlich der in 9.1 und 9.3 genannten Fälle trifft der Verantwortliche angemessene Maßnahmen, um die Rechte und Freiheiten sowie Ihre berechtigten Interessen zu wahren, wozu mindestens das Recht auf Erwirkung des Eingreifens einer Person seitens des Verantwortlichen, auf Darlegung des eigenen Standpunkts und auf Anfechtung der Entscheidung gehört.

  1. Recht auf Beschwerde bei einer Aufsichtsbehörde

Unbeschadet eines anderweitigen verwaltungsrechtlichen oder gerichtlichen Rechtsbehelfs steht Ihnen das Recht auf Beschwerde bei einer Aufsichtsbehörde, insbesondere in dem Mitgliedstaat ihres Aufenthaltsorts, ihres Arbeitsplatzes oder des Orts des mutmaßlichen Verstoßes, zu, wenn Sie der Ansicht sind, dass die Verarbeitung der Sie betreffenden personenbezogenen Daten gegen die DSGVO verstößt.

Wir verarbeiten personenbezogene Daten unserer Nutzer grundsätzlich nur, soweit dies zur Bereitstellung einer funktionsfähigen Webseite sowie unserer Inhalte und Leistungen erforderlich ist. Die Verarbeitung personenbezogener Daten unserer Nutzer erfolgt regelmäßig nur nach Einwilligung des Nutzers. Die personenbezogenen Daten der betroffenen Person werden gelöscht oder gesperrt, sobald der Zweck der Speicherung entfällt. Rechtsgrundlage für die vorübergehende Speicherung der Daten und der Logfiles ist Art. 6.1(f) DSGVO.

  1. Zweck der Datenverarbeitung

Die vorübergehende Speicherung der IP-Adresse durch das System ist notwendig, um eine Auslieferung der Webseite an den Rechner des Nutzers zu ermöglichen. Hierfür muss die IP-Adresse des Nutzers für die Dauer der Sitzung gespeichert bleiben. Die Speicherung in Logfiles erfolgt, um die Funktionsfähigkeit der Webseite sicherzustellen. Zudem dienen uns die Daten zur Optimierung der Webseite und zur Sicherstellung der Sicherheit unserer informationstechnischen Systeme. Die Daten werden per Email gelöscht, sobald sie für die Erreichung des Zweckes ihrer Erhebung nicht mehr erforderlich sind.   1. Rechtsgrundlage für die Datenverarbeitung

Rechtsgrundlage für die Verarbeitung der Daten ist bei Vorliegen einer Einwilligung des Nutzers Art.6.1(a) DSGVO. Rechtsgrundlage für die Verarbeitung der Daten, die im Zuge einer Übersendung einer Email übermittelt werden, ist Art. 6.1(f) DSGVO. Zielt der EmailKontakt auf den Abschluss eines Vertrages ab, so ist zusätzliche Rechtsgrundlage für die Verarbeitung Art. 6.1(b) DSGVO.

  1. Zweck der Datenverarbeitung

Die Verarbeitung der personenbezogenen Daten aus der Eingabemaske dient uns allein zur Bearbeitung der Kontaktaufnahme. Im Falle einer Kontaktaufnahme per Email liegt hieran auch das erforderliche berechtigte Interesse an der Verarbeitung der Daten. Die sonstigen während des Absendevorgangs verarbeiteten personenbezogenen Daten dienen dazu, einen Missbrauch des Kontaktformulars zu verhindern und die Sicherheit unserer informationstechnischen Systeme sicherzustellen.

  1. Dauer der Speicherung

Die Daten werden gelöscht, sobald sie für die Erreichung des Zweckes ihrer Erhebung nicht mehr erforderlich sind. Für die personenbezogenen Daten aus der Eingabemaske des Kontaktformulars und diejenigen, die per Email übersandt wurden, ist dies dann der Fall, wenn die jeweilige Konversation mit dem Nutzer beendet ist. Beendet ist die Konversation dann, wenn sich aus den Umständen entnehmen lässt, dass der betroffene Sachverhalt abschließend geklärt ist.

Die während des Absendevorgangs zusätzlich erhobenen personenbezogenen Daten werden spätestens nach einer Frist von sieben Tagen gelöscht.

  1. Widerspruchs- und Beseitigungsmöglichkeit

Der Nutzer hat jederzeit die Möglichkeit, seine Einwilligung zur Verarbeitung der personenbezogenen Daten zu widerrufen. Nimmt der Nutzer per Email Kontakt mit uns auf, so kann er der Speicherung seiner personenbezogenen Daten jederzeit widersprechen. In einem solchen Fall kann die Konversation nicht fortgeführt werden. Alle personenbezogenen Daten, die im Zuge der Kontaktaufnahme gespeichert wurden, werden in diesem Fall gelöscht.

Wir verwenden “KI”, um Anrufe an und von unserer Verkaufsabteilung für Qualitätssicherungs- und Schulungszwecken automatisch aufzuzeichnen. Wir verwenden die folgenden Tools: Sprachanalyse, Verarbeitung natürlicher Sprache, Telekommunikation, sentimentale Analysefunktion und maschinelles Lernen. Alle aufgezeichneten Daten werden auf der PBC-Plattform unter separaten Kundendatensätzen gespeichert. Die aufgezeichneten Daten stehen nur dem PBX / IT Admin über das PBX Admin-Dashboard zur Verfügung.

Folgende Daten werden erhoben:

Alle Anruflisten werden automatisch 90 Tage lang auf der PBC-Plattform gespeichert. Die Daten werden gelöscht, sobald sie nicht mehr erforderlich sind, um den Zweck zu erreichen, für den sie gesammelt wurden. Wenn es jedoch gerechtfertigt ist, ein bestimmtes Protokoll über einen längeren Zeitraum aufzubewahren, wird es von uns in Zusammenarbeit mit dem Datenschutzbeauftragten überprüft.

  1. Möglichkeit des Widerspruchs und der Löschung

Der Benutzer hat jederzeit die Möglichkeit, der Aufzeichnung des Anrufs zu widersprechen. In diesem Fall kann das Gespräch nicht fortgesetzt werden und der Anruf wird beendet. Darüber hinaus kann der Nutzer seine Einwilligung zur Verarbeitung personenbezogener Daten jederzeit nach dem Anruf widerrufen. In diesem Fall werden alle gespeicherten personenbezogenen Daten gelöscht.

General Terms and Conditions

  1. Subject Matter of the Agreement

1.1.  This Agreement, made and effective on the Effective Date shall regulate the provision of each and every one of the products and services provided by Safebridge, unless otherwise agreed between the Parties.

1.2.  Reference to this “Agreement” or the “Terms and Conditions” shall refer to the following documents:

1.2.1.  this Agreement which consists of the “General Terms and Conditions” (“GTC”) of Safebridge located in  www.mintra.com/legal under the heading General Terms and Conditions;

1.2.2.  the applicable “Product Specific Terms” (“PST”) for each product and/or Service and/or Application, signed or otherwise accepted as forming part of this Agreement, located at www.mintra.com/legal under the heading Product Specific Terms; and

1.2.3.  the “Terms of Use” (“TOU”) of each individual Application located at www.mintra.com/legal under the heading ‘Terms of Use’.

1.2.4.  For avoidance of doubt, in case of any conflict between the various documents listed above, the following order of precedence shall apply, where the document listed first will take precedence over the document listed later.

1.2.4.1.  Applicable Product Specific Terms;

1.2.4.3.  Terms of Use.

1.3.  The following definitions apply for the purposes of this Agreement:

“Application(s)”: All pieces of software provided by Safebridge, including – however not limited to – the Safebridge platform(s) used to provide the Services and any other software which may be installed and used on User or End-User devices;
“Cloud Services”: Refers to any service made available by Safebridge to its Users on demand via the internet using a cloud provider’s servers as opposed to Safebridge’s own on-premise servers. Such Cloud Services are accessible globally via the internet. Cloud providers engaged by Safebridge, to enable the provision of the Cloud Services, are compliant with the GDPR and the national laws of Germany with regards to data protection;
“Competitor”: Means any individual or company designing, developing, licensing, manufacturing, marketing or distributing any products or services which are competitive with any products and/or service provided by Safebridge to Customer in accordance with this Agreement;
“Customer”: The party entering with Safebridge into this Agreement or any other agreement which makes reference to this Agreement. When applicable Customer may either use the Application(s) by itself or, if applicable, designate any of its qualified personnel to use the Application(s);
“Effective Date”: Shall have the meaning as defined in section 13.1;
“End-User(s)”: Persons acting in a capacity which falls outside of the scope of the definition provided in this Agreement for Customers or Users;
“GDPR”: General Data Protection Regulation (EU) 2016/679 of 27 April 2016;
“License and Remuneration Model”: The license and remuneration model chosen by Customer as specified in the Product Data Sheet of each respective Service and/or Application – as may be amended from time to time or as otherwise agreed by the Parties in writing;
“Material”: All related course material used for training and/or any generated reports for the assessment of certain parameters as supplied by the respective Application and/or any certificates issued or uploaded and/or any other products and/or by-products derivant from use of the Service(s) or Application(s);
“Payment Terms”: Shall refer to the Safebridge payment methods and terms located at www.mintra.com/legal under the heading “Payment Methods and Terms”;
“Personal Data”: Shall have the meaning set out in article 4(1) of the GDPR;
“Product Data Sheet” or “PDS”: Shall have the meaning as defined in section 12.2;
“Product Specific Terms” or “PST”: Shall have the meaning as defined in section 1.2.2;
“Relevant Data”: Personal Data which is processed by Safebridge pursuant to the direct business relationship between Safebridge and Customer in accordance with the terms of this Agreement. This excludes Personal Data directly provided by Users or End-Users to Safebridge pursuant to any other agreement entered into between Safebridge and User or End-User;
“Sanctions”: Shall refer to any restrictive measures, administered or enforced by the European Union, U.S. Department of Treasury’s Office of Foreign Assets Control, the United Nations Security Council, Her Majesty’s Treasury, or any other relevant sanctions authority, which affect in any way Safebridge and/or come in conflict with Services and/or any of the Safebridge’s business activities;
“Service(s)”: Shall refer to each and every one of the products and services provided by Safebridge;
“Term”: Shall have the meaning as defined in section 13;
“Terms of Use” or “TOU”: Shall have the meaning as defined in section 1.2.3;
“User(s)”: Refers to the qualified personnel of the Customer designated by Customer to use the Application(s);
“Web-Shop”: Refers to the e-commerce website of Safebridge located on https://booking.safebridge.net/.

 

1.4.  At the time of entering into this Agreement, each Application and/or Service offers the functionalities as set out in the Product Data Sheet which may be changed from time to time upon reasonable prior notice to the Customer and the End-User.

1.5.  During the Term of this Agreement Safebridge will:

1.5.1.  provide the Service and/or Application, as defined in the Product Data Sheet;

1.5.2.  grant the required licenses; and

1.5.3.  maintain the Service and/or Application.

1.6.  Each Service and/or Application is offered in English and any other languages mentioned in the respective Product Data Sheet of each Service and/or Application. In any case, further languages may be added in the future.

  1. License

2.1.  Subject to the terms of this Agreement, Safebridge grants Customer the non-exclusive, temporary, and revocable license to use the Service, and/or Application provided by Safebridge as an “application as a service” over the internet, during the Term. The Service is completed in its entirety upon fulfilment of the intended purpose of each respective Service or, where applicable, upon expiry of the term of the subscription already paid for by the Customer.

2.2.  Customer is permitted to receive the Service and/or use the Application and/or, where applicable, the Material as stipulated in this Agreement and, where applicable, in the respective License and Remuneration Model. Furthermore, Customer shall only grant access to the Application and, where applicable, the Material to designated Users. Any further use or exploitation, including, in particular the resale of the Material or of access to an Application, or the transfer of the Material (or parts thereof) to any other own or third-party application is strictly prohibited unless explicitly agreed on in writing between Safebridge and Customer.

2.3.  The selling, lending, renting, licensing, distributing, copying or making available of the Application and/or Material or login data to any third parties as well as the translation, adaptation, arrangement or any other alteration of the Application and/or Material without Safebridge’s prior written consent, and any transfer of the Material (or parts thereof) to any other own or third-party application is prohibited. Customer is allowed to make copies of, where applicable, the Application and/or the Material only to the extent necessary for the use of the Application and receipt of the Services provided under this Agreement. The license granted to Customer is not transferable to any third party.

2.4. Customer is aware that the use of the Application may be made available through Cloud Services and may require an operating network connection to the internet as well as third-party software to be installed on Customer’s devices such as operating systems, web-browsers, pdf readers, etc. In any case, Customer acknowledges the system requirements as stated in the Product Data Sheet and shall only install and/or run the Application in case Customer’s hardware fulfils such requirements.

  1. License Fees and Payment

3.1.  Safebridge offers different types of licenses and/or subscriptions as further defined in the PST or relevant pricelist provided upon request or the Web-Shop or the Product Data Sheet respectively or as otherwise agreed by the Parties in writing.

3.2. Regarding any login-based payment models, the Application is considered to be in use when a set of login data allocated to Customer is activated on an electronic device.

3.3. Payments, upon receipt of the order confirmation / invoice / payment advice, have to be made in accordance with the Payment Terms. Each invoice will be sent by email in pdf format to the e-mail address of the Customer-provided point of contact.

3.4. The purchased Services will be credited and made available in the account of Customer in accordance with the provisions of the Payment Terms.

  1. Customer Duties and Obligations

4.1.  Customer shall at all times during the term of this Agreement duly cooperate with Safebridge. In particular Customer shall:

4.1.1.  pay any remuneration due in accordance with the applicable License and Remuneration Model and the Payment Terms;

4.1.2.  provide and maintain the technical equipment required to receive the Service and use the Application and ensure that the technical equipment complies with the Minimum System Requirements set out in the Product Data Sheet as updated from time to time;

4.1.3.  provide Safebridge with its electronic contact data, and keep this information updated, if necessary;

4.1.4.  check its mailbox regularly and secure that e-mails from Safebridge, especially order confirmations or invoices, are received;

4.1.5.  ensure that the login data and any Material (or modifications thereof) is protected against unauthorized access and is not disclosed to any third party;

4.1.6.  instruct Users and supervise Users regarding the confidential use of the login data handed over to them;

4.1.7.  report to Safebridge any breach of Confidential Information or infringement of intellectual property rights of Safebridge.

4.1.8.  ensure ownership of any rights required to insert or upload any content in the Application;

4.1.9.  secure that End-Users provide their consent for the processing and storing and, where applicable, sharing of their personal data to third parties for the purpose of delivery of the Service and/or use of the Application; and

4.1.10. secure that Users accept and continuously comply with the Terms of Use (TOU) applicable to each individual Application before using the Application.

4.2.  Customer at any time remains fully responsible for:

4.2.1.  its Users and the work conducted by such Users. Safebridge by, where applicable, offering the Services and use of the Applications and issuing the Material under this Agreement does not accept any responsibility in this regard; in particular (but not limited to) with regard to decisions made by Customer or third parties based on the content of the Material.

4.2.2.  the usage of the Material in compliance with all applicable laws, in particular (but not limited to) with regard to data protection, privacy and labour laws.

4.2.3.  the satisfaction of any requests made by End-User with regards to End-User’s Personal Data pursuant to any rights granted to End-User under – and subject to any restrictions/limitations introduced by – applicable national laws and EU directives and regulations, and as outlined in the Safebridge Data Protection Declaration located in www.mintra.com/legal. Such requests shall only concern Relevant Data. For the avoidance of doubt, requests made by End-User to Customer with regards to Personal Data which is not Relevant Data shall be forwarded to Safebridge immediately and without undue delay.

4.2.4.  the acceptance of any certificates issued under or pursuant to this Agreement by charterers, flag states etc.

  1. Relationship between Safebridge and Users or End-Users

5.1. Users or End-Users can access the Application by completing registration of their own account after activation is completed by Customer and – if applicable – after Users or End-Users have personally completed the process for registration of own user account. The relationship between Safebridge and Users or End-Users is limited to the access to the Application granted by Safebridge to the Users or End-Users under the terms of this Agreement. For the avoidance of doubt, the contractual relationship created under these terms is only between Safebridge and Customer or End-User.

5.2. Users or End-Users that want to use the Application have to provide their correct personal data in order to verify their identity. The use of the Application without correct identification is prohibited.

5.3. Users or End-Users have to consent to the Terms of Use (“TOU”). Customer undertakes reasonable legal and practical efforts to secure that Users comply with any stipulations under this Agreement and the Terms of Use and Privacy Policy of each Application.

5.4.  Safebridge is entitled to exclude Users from receiving Services or using Applications and to withdraw issued certificates or other issued Material in case of:

5.4.1.  breach of the TOU by a User or End-User; or

5.4.2.  use of the Application in breach of this Agreement or fraudulent behaviour or in any way which attempts to defy the purpose of the Application and/or Service provided (including, but not limited to, using the course with multiple users, disclosing login data, copying of course, assessment or other content, cheating on the tests or assessments in any way, knowingly entering incorrect or fake information, issuing fake certificates); or

5.4.3.  non-payment by the expiry of the due date; or

5.4.4.  unjustified withdrawal of payment.

5.5.  Additionally, Customer, in such cases of fraudulent use by User or End-User, is responsible to ensure that, Material in electronic or physical form, produced by the Application, is no longer used by Customer , Users, End-Users or any third parties having received access through the Customer and, where applicable, destroyed.

  1. Liability

6.1. Each Party shall be liable without limitation if the other Party makes claims arising out of deliberate acts and/or gross negligence and/or in case of a separate guarantee as to the quality of delivered goods or services and/or in the event of a fraudulent concealment of defects.

6.2. Furthermore, each Party shall be liable without limitation for damages to life, health and bodily injuries as well as for the gross negligence of its organs, legal representatives or managing employees.

6.3. For other damage caused by the gross negligence of each Party’s ordinary agents, liability is limited to typically foreseeable damages at the time of the conclusion of this Agreement.

6.4. In other cases of negligence each Party shall only be liable if an obligation has been breached which is essential to fulfil this Agreement’s purpose (“Cardinal Obligation”). The term Cardinal Obligation represents all obligations which must be fulfilled to facilitate the implementation of the Agreement and upon whose fulfilment the Parties regularly rely. In the event of a breach of a Cardinal Obligation, liability is limited to typically foreseeable damages at the time of the conclusion of the Agreement. In no event, Safebridge shall be liable for any decisions made by Customer based on the Material.

6.5. The statutory provisions in relation to product liability shall remain unaffected.

6.6.  Any liability of each Party in excess of the above or of any other provisions of this Agreement is excluded.

  1. Intellectual Property and ownership of End-Users’ data and test input

7.1.  The Parties shall not use the other Party’s trademarks, trade names, designs, logos and names of the products, devices and/or the underlying software except as expressly authorized by the other Party in writing.

7.2. The Application, its source code and object code as well as its interfaces and, where applicable, Material are protected by national and international intellectual property laws. Safebridge and, where applicable, third parties (i.e. the manufacturers of the underlying software, third-party authors, etc) retain all intellectual property rights regarding the Application, the software, the Service and Material, including any documentation made available to Customer or End-User. Customer or End-User must not remove or cover attributions of authorship or copyright.

7.3.  Additionally, where applicable, all personal data and all input made by End-Users when using the Application (hereinafter referred to as “End-User Data”) shall remain End-Users sole property. End-User, however, grants to Safebridge and, where applicable, to Customer a right to use the End-User Data to generate Material on his/her results. Customer acknowledges that End-User may at its sole and unfettered option grant third parties with access to his respective End-User Data by way of the Application in order to also allow such third parties to use the End-User Data to generate Material by operating the Application on the same terms and conditions as set forth herein.

  1. Confidentiality

8.1. Confidential Information means, in relation to either Party, information (whether in oral, written or electronic form) belonging or relating to that Party, its business affairs or activities, which:

8.1.1.  is marked as confidential or proprietary;

8.1.2.  according to the accompanying information provided by the disclosing Party is confidential;

8.1.3.  due to its character or nature, a reasonable person in a like position and under like circumstances would treat as confidential;

For the avoidance of doubt, any non-public information of Safebridge and its partners provided to the Customer through the Safebridge Platform, in particular any non-public training material is deemed Confidential Information.

8.2. Each Party agrees not to make the other Party’s Confidential Information available in any form to any third party and not to use the other Party’s Confidential Information for any purpose other than the performance of its rights and obligations under this Agreement.

8.3. The restrictions in this section shall not apply to information which would otherwise constitute the disclosing Party’s Confidential Information but which:

8.3.1.  is or becomes a part of the public domain through no act or omission of the Receiving Party (as defined below) or any of its directors, officers or employees;

8.3.2.  was in the other Party’s lawful possession prior to its disclosure by the disclosing Party and had not been obtained by the Receiving Party either directly or indirectly from the disclosing Party;

8.3.3.  is lawfully disclosed to the Receiving Party by a third party without restriction of disclosure;

8.3.4.  is independently developed by the Receiving Party;

8.3.5.  is required by law or any regulatory body or for the purposes of litigation, by or against either Party, to be disclosed, provided, however, that prior to any such disclosure, the disclosing Party will notify the non-disclosing Party and will cooperate fully with the non-disclosing Party in protecting against any such disclosure and/or obtaining a protective order narrowing the scope of such disclosure and/or use of the Confidential Information.

8.4. The Party receiving confidential information (the “Receiving Party”) acknowledges and agrees that a breach by the Receiving Party of any of the terms of this section may result in irreparable and continuing damage to the disclosing Party for which there may or will be no adequate remedy at law, and that in the event of such breach, the disclosing Party shall be entitled to apply for Injunctive relief and such other and further relief as may be appropriate.

8.5.  The Receiving Party shall use the same degree of care, and in any case no less than the reasonable degree of care expected with this Agreement, to prevent unauthorized use, dissemination, disclosure or publication thereof, as it uses to protect its own information of confidential nature.

8.6. The Receiving Party may communicate the Confidential Information to its employees on a need to know basis only. Each Party shall ensure that its personnel having access to Confidential Information is advised of the confidentiality obligations under this Agreement and is subject to confidentiality agreements that are at least as stringent as the requirements of this Agreement.

8.7. Each Party shall give notice to the other of any unauthorised use, disclosure, theft or other loss of the other Party’s Confidential Information as soon as reasonably practicable after becoming aware of the same.

8.8. Upon the disclosing Party’s written request, the Receiving Party shall promptly return or destroy all Confidential Information of the disclosing Party and all copies, reproductions, summaries, analyses, extracts or modifications thereof or based thereon in the Receiving Party’s possession

8.9.  The provisions of this section shall survive termination of this Agreement.

8.10. Breach of any provision of this section shall give the disclosing Party the right to terminate this Agreement with immediate effect.

  1. Data Protection

9.1. Both Parties undertake to comply with the applicable laws and regulations regarding protection of personal data. The Customer is advised to comply, in particular, with any additional workplace privacy requirements if applicable.

9.2. Both Parties shall oblige its personnel and any subcontractors that may have access to personal data received from the respective other party to also comply with the applicable laws and regulations regarding protection of personal data.

9.3. Both Parties agree to enter into additional agreements regarding the protection of personal data, if required by applicable law, in particular (but not limited to) a data processing agreement.

9.4. Please see our Privacy Policy and Data Processing Declaration regarding which of the Customer’s and/or User’s and/or End-User’s data will be collected and how it will be processed under [www.mintra.com/legal]. Safebridge may revise this Privacy Policy and Data Processing Declaration from time to time. If Safebridge makes any material changes to the Privacy Policy and Data Processing Declaration, Safebridge will notify Customer and/or User and/or End-User of such changes by posting them on the application or by sending an email or other notification, and Safebridge will update the “Last Updated Date” indicating when those changes will become effective.

  1. Export Restrictions

10.1. Customer acknowledges that Safebridge may be bound by third-parties’ restrictions regarding the export of their software, being part of the Services, to specific countries. Therefore, Safebridge retains the right to exclude Customers or individual Users from using these Services in case such restrictions by third-parties apply to Customer.

10.2. Customer acknowledges that Safebridge may be bound by laws on export restrictions and that therefore the booking of specific Services for specific Customers might not be possible; such restrictions do not entitle the Customer to return purchased products or Services. Further information regarding current export restrictions is available on request from Safebridge. Safebridge retains the right to terminate an existing Agreement in case such a restriction applies to Customer. Safebridge reserves the right not to effect booking or assigning of Services or use of Applications or to enable Customer to access Material in case other restrictions for Customers and/or Users are applicable. Unassigned Services or Applications in the meaning of this section will not be refunded, but can be assigned to other (unrestricted) Users and/or can be used for other unrestricted Services or Applications.

10.3. The causes for termination stated in this section are considered to be important in the meaning of the section 13 Term and Termination.

10.4. Customer shall inform its Users about any export restrictions and shall exclude its Users violating such restrictions from the use of the Application.

  1. Sanctions

11.1. The Customer represents that:

11.1.1. it conducts its operations in compliance with all applicable governmental laws, rules and regulations, including, but not limited to, any Sanctions or export control regulations;

11.1.2. it acquires, obtains and maintains any governmental or other regulatory body licenses, permits or approvals, including any export licenses necessary required in the territory where the products and services of Safebridge will be resold or used;

11.1.3. none of its subsidiaries, affiliates, agents or representatives are subject to Sanctions, or are located, established or residing in a country or territory that is subject to Sanctions;

11.1.3. Customer has not knowingly engaged in, is not now knowingly engaged in, and will not engage in, any dealings or transactions with any individual, or company, in any country or territory that at the time of the dealing or transaction is or was subject of Sanctions.

  1. Common Product Terms

12.1. Proof of Identity

Customer is aware that the End-User may be required to prove his or her identity before being able to run specific function(s) of the Application. End-User identity can either be confirmed by performing the relevant functions of the Application in the presence of a registered supervisor approved by Safebridge or via technical means as described in the Application. Where End-User identity is confirmed via technical means, respective requests for the provision of a valid identification document and additional information are presented to the End-User through the Application. Customer shall inform any End-User about this prerequisite.

Subject to any eligibility requirements issued by Safebridge from time to time and any other applicable terms and conditions, Customer can apply for one or more supervisor accounts with Safebridge. Safebridge retains the right to reject supervisor applications or to withdraw supervisor rights in case Safebridge is or becomes aware that supervisor is unreliable or is otherwise unable to satisfy such eligibility requirements and/or quality standards of Safebridge.

12.2. Product Data Sheet

Customer confirms that their systems comply with the information detailed in the description of each Services and/or Application, listed under the ‘Product Specifications’ page located on the Safebridge website www.mintra.com/product-specifications (the “Product Data Sheet”), prior to effecting purchase; and further confirms that their systems satisfy the Minimum System Requirements listed for each Application under the ‘FAQ’ section of the Safebridge website and/or each Product Data Sheet.

12.3. Availability and Updates

12.3.1. Safebridge undertakes reasonable efforts to provide an uninterrupted operation of the Application and provision of services. However, Customer is aware that the Application might be updated and changed from time to time, which might lead to a temporary interruption or unavailability of the services provided under this Agreement. If possible, Safebridge will inform Customer about such interruptions duly in advance.

12.3.2. Updates or changes might also lead to new technical Minimum System Requirements differing from those currently set out in the Product Data Sheet. In case Customer is not able to comply with the new technical minimum requirements, Customer has to inform Safebridge of this fact within reasonable time. Safebridge will then decide if it assists Customer to regain compliance or to refund Services which have not been completed before the new minimum requirements enter into force.

12.3.3. The Application may be provided as a web-browser based solution supported web-browsers and versions are set forth in the Product Data Sheet as amended from time to time (hereinafter referred to as “Supported Web-Browser Versions”). Safebridge assures that the Application will run and operate on Supported Web-Browser Versions. Customer confirms and acknowledges that Customer is responsible to take care of operating equivalent Supported Web-Browser Versions at Customer’s devices.

12.4. Limitation of Guarantee

12.4.1. The Applications and respective processes and generated Material have been developed to meet the applicable standards set out in the respective Product Data Sheet of each Application, Service, or product.

12.4.2. Safebridge, however, does not guarantee:

12.4.2.1. that any results indicating the performance of an End-User are conclusive; and/or

12.4.2.2. that End-User is fit for specific decision-making purposes within the Customer’s organization; and/or

12.4.2.3. that results act as indicators of successful training of End-User; and/or

12.4.2.4. any specific characteristics of the certificates or a certificate’s fit for specific purposes, and/or;

12.4.2.5. the correctness of any data entered by Customers.

12.4.3. Subject to the provisions of section 6 of this Agreement titled “Liability”, Safebridge cannot be held liable to Customer or third parties for any decisions made by Customer based on such results and/or any industry norms associated with such results and/or uploaded certificates or individual User’s Performances and/or for any claims arising out of improper use of any equipment on which End-User completed training.

  1. Term and Termination

13.1. This Agreement is made effective on the date the Customer’s or User’s or End-User’s account is created (the “Effective Date”) and, unless terminated in accordance with the terms of this Agreement, shall remain in effect:

13.1.1. where applicable, for a period which is no less than the period indicated in the selected License and Remuneration Model (the “Minimum Period”) and for an indefinite period thereafter; or

13.1.2. where no Minimum Period is applicable, for an indefinite period from the Effective Date.

(hereinafter the “Term”).

13.2. Notwithstanding any termination rights explicitly agreed in writing between the Parties, if any, each Party may terminate this Agreement immediately for important reason in accordance with s.314 of the German Civil Code.

13.3. Subject to the applicable terms of this clause, termination of this Agreement can be effected at any time during the Term, provided that any applicable Minimum Period has expired, with a two (2) months’ written notice delivered in accordance with the provisions of section 15 Notices.

13.4. Furthermore, and notwithstanding any other rights for immediate termination granted in this Agreement, this Agreement may be terminated with immediate effect at any time by written notice:

13.4.1. Upon the insolvency or bankruptcy of either Party, the inability of either Party to pay its debts as they fall due or upon the appointment of a trustee or receiver or the equivalent for either Party, without notice;

13.4.2. Upon a substantial change of ownership or transfer of control [fifty percent (50%) of capital or voting rights] by either Party to a direct competitor of the other Party, or to any legal entity which is an affiliate and/or associate and/or is controlled by a direct competitor of the other Party, without notice;

13.4.3. If Customer and/or User degrades and places in bad repute the name and reputation of Safebridge expressly or by virtue of its methods of handling and/or promoting the Services and products;

13.4.4. In the event where Customer by using the Application and/or receiving a Service is considered to have a duty to meet certain quality standards, as may be described in the PST or the Product Data Sheet (i.e. uploaded certificates, learning material, etc), and Customer fails to meet these standards.

13.4.5. In the event that either Party fails to perform any of its material obligations described in this Agreement and does not take any necessary action within thirty (30) days after the terminating Party’s notice of default

13.4.6. In the event that after a period of one (1) year no business has been resulted from the purpose of the Agreement.

13.4.7. in the case of assignment of whole or part of the Agreement or sub-assignment without the written consent of the other Party.

13.4.8. in the event that a Party fails to perform any of its material obligations described in this Agreement and does not take any necessary action within thirty (30) days after the other Party’s notice of default.

13.5. Upon termination of this Agreement, both Parties shall pay all outstanding charges which have become due and payable under this Agreement as at the date of such termination.

13.6. After termination of the Agreement, Customer and/or User understand and agree that:

13.6.1. Customer and/or User accounts will be deactivated; and

13.6.2. Application will not be accessible by Customer and/or User; and

13.6.3. Customer and /or User must not use any accompanying or generated Material.

  1. Force Majeure

14.1. Neither Party shall be liable for delays in performance of this Agreement, except for monetary obligations, caused by conditions beyond their reasonable control (“Force Majeure”), provided notice thereof is given to the other Party as soon as practicable. Force Majeure shall include, without limitation, hostilities, revolution, acts of war (whether or not declared), act of terrorism, civil commotion, strike, epidemic accident, quarantines or regional medical crisis, fire, flood, wind, earthquake or other inclement weather conditions and any impending threat of the foregoing, blockade, embargoes, shortage of materials or transportation facilities, strikes and lockouts, any other Acts of God or act of any government or governmental agency, including laws, regulation or ordinance and proclamation affecting the Parties, the work and the services to be provided without the fault or negligence of the Parties hereto, or any other events or circumstances not within the reasonable control of the party affected, whether similar or dissimilar to any of the foregoing.

14.2. All such Force Majeure conditions preventing performance shall entitle the Party hindered in the performance of its obligations hereunder to an extension of the estimated or agreed date of delivery by a period of time equal to the period of delay incurred as a result of the Force Majeure or to any other period as the Parties may agree in writing.

  1. Notices

15.1. Unless otherwise indicated in this Agreement, all notices to the Parties under this Agreement shall:

15.1.1. be in writing;

15.1.2. be effective on the date of delivery if delivered within business hours of the recipient or on the next business day if delivered outside business hours of the recipient; and

15.1.3. be given by registered mail (postage prepaid) or email to the addresses set out below:

15.1.3.1. For declarations or communications to be made to Customer or User to the details provided by Customer or User upon registration of individual accounts with Safebridge.

15.1.3.2. For declarations or communications to be made to Safebridge to legal@mintra.com and the details provided in the Contact page of our website (www.support.mintra.com/other/safemetrix).

  1. Assignment

16.1. Neither Party may assign this Agreement, delegate its obligations or assign its rights hereunder without the prior written consent of the other Party, which consent will not be unreasonably withheld. Notwithstanding the foregoing and without the consent of the other Party, Safebridge may assign this Agreement or any part thereof, delegate its obligations or assign its rights hereunder to any affiliated company in the meaning of Sec. 15 et seq. German Stock Corporation Act.

  1. Anti-Bribery

17.1. Customer represents and confirms that it is aware of, understands, and will comply with all applicable country laws and regulations relating to anti-corruption and anti-bribery. In addition, Customer agrees that so long as it is conducting business with Safebridge, it will not, directly or indirectly, on its own behalf or on behalf of Safebridge promise, offer, solicit, authorise, give or receive a bribe, or other corrupt payment, item or service of value, or any other corrupt advantage, whether in cash or in kind, in relation to the performance of this Agreement.

17.2. A breach of section 17.1 entitles Safebridge to terminate this Agreement with immediate effect.

  1. Relationship of the Parties

18.1. The Parties shall be deemed to have the status of independent contractors, and nothing in this Agreement shall be deemed to constitute a partnership, joint venture, or fiduciary relationship between the Parties or shall be deemed to place the Parties in the relationship of employer-employee or principal-agent. Neither Party shall – nor shall neither Party have authority to – make any representations, claims or warranties on behalf of the other Party unless otherwise agreed by the Parties with a separate agreement in writing.

  1. Non-Solicitation

19.1. During the Term of this Agreement and one year thereafter, the Customer shall not, without Safebridge’s prior written consent, directly or indirectly:

19.1.1. solicit or encourage any person to leave the employment or other service of Safebridge;

19.1.2. hire, solicit, or attempt to solicit the services of any current or former employee, agent or subcontractor of Safebridge;

19.2. Violation and breach of this section 19 entitles Safebridge to terminate this Agreement or any other agreement entered between the Parties, with immediate effect.

  1. Non-Compete

20.1. During the Term of this Agreement and for a period of one year thereafter Customer shall not:

20.1.1. directly or indirectly, for himself/herself or for any other person or entity, compete with the Services provided by Safebridge in accordance with this Agreement;

20.1.2. have an ownership interest in any entity, partnership or other business organization who or which directly or indirectly competes with the Services provided by Safebridge in accordance with this Agreement.

20.2. Violation and breach of this section 20 entitles Safebridge to terminate this Agreement or any other agreement entered between the Parties, with immediate effect.

  1. Miscellaneous

21.1. Any failure to enforce, or delay in enforcing, any provision of this Agreement by either Party will not be construed to be a waiver of any breach of such provision or any other provision of this Agreement. No waiver of any breach of a provision of this Agreement will be effective unless made in writing and signed by an authorized representative of the waiving Party. The waiver of a breach of a provision of this Agreement will in no way be construed as a waiver of any subsequent breach of such provision or as a waiver of the provision itself.

21.2.  The captions and headings used in this Agreement are inserted for convenience only and shall not affect the meaning or interpretation of this Agreement.

21.3.  Should any provision of this Agreement, or any provision incorporated in this Agreement in the future, be or become invalid or unenforceable, the validity or enforceability of the other provisions of this Agreement shall not be affected thereby. The invalid or unenforceable provision shall be deemed to be substituted by a suitable and equitable provision which, to the extent legally permissible, comes as close as possible to the intent and purpose of the invalid or unenforceable provision. The same shall apply: (i) if the Parties have, unintentionally, failed to address a certain matter in this Agreement; in this case a suitable and equitable provision shall be deemed to have been agreed upon which comes as close as possible to what the parties, in the light of the intent and purpose of this Agreement, would have agreed upon if they had considered the matter; or (ii) if any provision of this Agreement is invalid because of the scope of any time period or performance stipulated herein; in this case a legally permissible time period or performance shall be deemed to have been agreed which comes as close as possible to the stipulated time period or performance.

This Agreement and the relationship between the Parties shall be governed by, and interpreted in accordance with German law. The UN Convention on the International Sale of Goods (CISG) shall not apply. Each Party hereby irrevocably agrees to the exclusive jurisdiction of the Courts of Hamburg, Germany.

WHAT KINDS OF INFORMATION DO WE COLLECT?

Depending on which services you use, we collect different kinds of information:

Information, provided by the customer

We collect name, surname, email, gender, nationality, country/place of birth and date of birth. To be able to provide certain services, we may collect identification (like a photo of your government-issued ID) or other authentication information of the users and the representatives of the customers. We may record and store phone calls for quality assurance and training purposes as further detailed in the Data Protection Declaration.

Information about payments

We collect payment information, such as your credit or debit card number and other card information, and other account and authentication information, as well as billing and contact details.

Device information

We collect information about the operating system, hardware type and device settings, including IP address and network provider.

Cookies and other tracking technologies

We use cookies and similar technologies to provide and support our services.

Information, provided by the user

We record user activities related to the access or activation of a product from a user.

Performance information of the user

We record user activities related to the progress and performance of a user in a course and the corresponding tests or assessments, such as test progress, accuracy, reaction times, results and time for completion.

This information is used to provide customers with reports about the knowledge/competences of the user.

HOW DO WE USE THIS INFORMATION?

Provide services

We use information to enable you to access and use the application, to access our trainings, assessments and reports, as well as to manage, issue and validate certificates.

Communicate with you

We use your information to send you marketing communications, communicate with you about our services and let you know about our policies and terms.

Improve our services

We analyse the information we have to evaluate and improve products and services, develop new products or features and conduct troubleshooting activities. Furthermore, we train our staff and establish call handling standards to insure the highest level of customer service.

WHERE IS THIS INFORMATION STORED?

Cloud service

We use cloud infrastructure services to store your information.

HOW IS THIS INFORMATION SHARED?

Information about the user

If the customer registered a user for the service, the customer will have access to the personal information which was used for the registration and information about the test progress. If the customer did not register the user for the service, he will have access to the personal information only after the user makes such information available.

Information about the customer

Information about the customer and its representatives is accessible to the other representatives of the company. The recorded data are available only to PBX/IT Admin via the PBX Admin dashboard.

Sharing within the group

We may share and/or transfer your information, including any personal information, to any affiliate, subsidiary or holding company of Safebridge, or to any other company of the group in which Safebridge is a member.

Sharing with third parties

Anonymised information may be shared with third parties for the purpose of scientific research, development or improvement of services.

We may share your information, including any personal information, with a third party to fulfil a legal obligation which Safebridge is subject to, in accordance with Article 6 GDPR.

Sharing information outside of EU

We may transfer, store, use and process your information, including any personal information, to countries outside of the European Economic Area (“EEA”), for the purposes as described here.

REVIEW AND UPDATE YOUR INFORMATION

As a user, you may request in writing copies of your personal information held by us. We will provide you with a copy of the personal information held by us as soon as practicable. We may request proof of identification to verify your access request. If your personal information that we hold is inaccurate, let us know and we will update the relevant information. You may also request the erasure of your personal information in accordance with the relevant data protection legislation.
